On 21 December 2015, Hong Kong Exchanges and Clearing
Limited (HKEx) published its new requirements in the Consultation Conclusions
on the Review of the Environmental, Social and Governance (ESG) Reporting Guide
(the “Consultation Conclusions”). All companies listed on the Hong Kong
Exchange will be affected. The new requirements will apply to financial years
commencing on or after 1 January 2016.
All listed companies must state in its annual report or a
separate ESG report whether it has complied with the “comply or explain”
provisions set out in the ESG Guide for the relevant financial year; where the
issuer deviates from the “comply or explain” provisions, it must give
considered reasons for doing so in its ESG report; and the issuer must disclose
its ESG information on an annual basis and regarding the same period covered in
its annual report.
There are a total of 3 aspects/ 12 KPIs and 8 aspects/ 20
KPIs under the two respective subject areas for ESG reporting- Environmental
and Social.
While General Disclosures are required to “comply or
explain” for financial years commencing on or after 1 January 2016, the
Environmental KPIs are required to “comply or explain” whereas the social KPIs
are “recommended” for financial years commencing on or after 1 January 2017.
This seminar aims to brief the reporting requirements and
highlight the potential contribution from engineers.
